AGB & Vorauszahlungsvereinbarung f\u00fcr Online-Kurse<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t\t\t\t\t

1. Vertragsparteien<\/b><\/h3>\nDiese Vereinbarung wird geschlossen zwischen:<\/span>\n
    \n \t
  • Anbieter:<\/b> Fratichelli Education Ltd. (in Gr\u00fcndung. Registrierung voraussichtlich bis Juni 2025). Die Rechnung wird erst nach der offiziellen Registrierung durch die neue Firma ausgestellt, sp\u00e4testens bis Juni 2025.<\/span><\/li>\n \t
  • Kunde:<\/b> Person, die die Zahlung t\u00e4tigt und Zugang zum Online-Kurs erh\u00e4lt.<\/span><\/li>\n<\/ul>\n

    2. Leistungsbeschreibung<\/b><\/h3>\n
      \n \t
    • Der Anbieter stellt dem Kunden einen Online-Kurs mit dem Titel <\/span>“<\/span><\/i>Bridal Hair Pro 2025<\/i><\/b>“<\/span><\/i> zur Verf\u00fcgung.<\/span><\/li>\n \t
    • Der Kurs umfasst digitale Inhalte, die dem Kunden f\u00fcr unbegrenzte Zeit bereitgestellt werden.<\/span><\/li>\n \t
    • Die Zahlung f\u00fcr den Kurs erfolgt <\/span>einmalig<\/b>, es gibt <\/span>keine weiteren oder versteckten Kosten<\/b>.<\/span><\/li>\n \t
    • Der Kunde erh\u00e4lt nach erfolgreicher Zahlung <\/span>sofortigen Zugriff<\/b> auf die ersten Kursinhalte.<\/span><\/li>\n \t
    • Drip-Freischaltung:<\/b> Der Kurs wird schrittweise freigeschaltet, um eine optimale Lernerfahrung und Betreuung zu gew\u00e4hrleisten. Neue Module erscheinen regelm\u00e4\u00dfig (bspw. w\u00f6chentlich), bis alle Inhalte vollst\u00e4ndig ver\u00f6ffentlicht sind.<\/span><\/li>\n<\/ul>\n

      3. Vorauszahlung & Rechnungsstellung<\/b><\/h3>\n
        \n \t
      • Die Zahlung erfolgt als <\/span>Vorauszahlung<\/b> f\u00fcr die zuk\u00fcnftige Bereitstellung des Online-Kurses. Sofortiger (Teil-) Zugriff der Kursinhalte erfolgt unmittelbar nach Zahlung. (Siehe Punkt \u201c<\/span>Drip-Freischaltung<\/b>\u201d)<\/span><\/li>\n \t
      • Die Rechnung f\u00fcr diese Zahlung wird erst nach der registrierten Firmengr\u00fcndung des Anbieters (Fratichelli Education Ltd.) ausgestellt, sp\u00e4testens im Juni 2025. <\/span>Beim Kauf dieses Produktes stimmst du dieser Vereinbarung ausdr\u00fccklich zu.<\/b><\/mark> Ein Kauf ohne diese Zustimmung ist nicht m\u00f6glich. Eine Unterschrift ist nicht erforderlich. Eine Zahlungsbest\u00e4tigung wird jedoch nach erfolgter Zahlung ausgestellt.<\/span><\/li>\n \t
      • Die vollst\u00e4ndige Zuordnung der Zahlung (+ sp\u00e4tere Rechnung) erfolgt zugunsten der neu gegr\u00fcndeten Firma Fratichelli Education Ltd..<\/span><\/li>\n \t
      • Bis zur offiziellen Firmengr\u00fcndung wird die Zahlung als Vorauszahlung f\u00fcr zuk\u00fcnftige Leistungen verbucht und erst nach der Firmengr\u00fcndung als endg\u00fcltiger Umsatz ausgewiesen.<\/span><\/li>\n<\/ul>\n

        4. Leistungszeitraum & Zugriffsrechte<\/b><\/h3>\n
          \n \t
        • Der Kunde erh\u00e4lt nach Zahlung sofort Zugang zu den ersten Inhalten.<\/span><\/li>\n \t
        • Die Inhalte werden schrittweise ver\u00f6ffentlicht, bis der Kurs vollst\u00e4ndig ist.<\/span><\/li>\n \t
        • Der vollst\u00e4ndige Leistungszeitraum ist <\/span>10.02.2025 \u2013 31.12.2025<\/b>.<\/span><\/li>\n \t
        • Der Zugriff bleibt lebenslang bestehen, sofern der Anbieter seine Plattform weiter betreibt oder keine unvorhersehbaren technischen oder wirtschaftlichen Umst\u00e4nde den Betrieb unm\u00f6glich machen.<\/span><\/li>\n<\/ul>\n

          5. Keine weiteren Kosten oder Verpflichtungen<\/b><\/h3>\n
            \n \t
          • Mit dieser Einmalzahlung entstehen dem Kunden <\/span>keine weiteren Kosten oder Geb\u00fchren<\/b>.<\/span><\/li>\n \t
          • Es gibt <\/span>keine Abo-Modelle, keine versteckten Kosten und keine zus\u00e4tzlichen Zahlungsaufforderungen.<\/b><\/li>\n<\/ul>\n

            6. Widerrufsrecht & R\u00fcckerstattungen<\/b><\/h3>\n
              \n \t
            • Da es sich um digitale Inhalte handelt, die dem Kunden nach Zahlung sofort zur Verf\u00fcgung stehen, besteht <\/span>kein Widerrufsrecht<\/b> nach \u00a7 356 Abs. 5 BGB.<\/span><\/li>\n \t
            • Eine <\/span>R\u00fcckerstattung ist ausgeschlossen<\/b>, unabh\u00e4ngig davon, ob alle Module bereits freigeschaltet wurden oder nicht.<\/span><\/li>\n \t
            • Der Kunde erkl\u00e4rt sich mit dem Kauf ausdr\u00fccklich damit einverstanden, dass der Kurs schrittweise (\u201eDrip-Freischaltung\u201c) ver\u00f6ffentlicht wird und er keinen Anspruch auf eine sofortige Bereitstellung aller Inhalte hat.<\/span><\/li>\n \t
            • Der Anbieter beh\u00e4lt sich das Recht vor, in individuellen Ausnahmef\u00e4llen nach eigenem Ermessen eine anteilige oder vollst\u00e4ndige R\u00fcckerstattung zu gew\u00e4hren.<\/span><\/li>\n<\/ul>\n

              7. Geltendes Recht & Gerichtsstand<\/b><\/h3>\n

              • Diese Vereinbarung unterliegt dem Recht von Malta.<\/span><\/li>\n \t
              • Der Gerichtsstand f\u00fcr Streitigkeiten ist Malta.<\/span><\/li>\n<\/ul>\n

                8. Zustimmung durch den Kunden<\/b><\/h3>\n
                  \n \t

                  Terms & Prepayment Agreement for Online Courses
                  (ENGLISH Version)<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

                  \n\t\t\t\t\t\t\t\t\t

                  1. Contracting Parties<\/b><\/h4>\nThis agreement is made between:<\/span>\n
                    \n \t
                  • Provider:<\/b> Fratichelli Education Ltd. (in formation, expected registration by June 2025). The invoice will only be issued after the official registration of the new company, no later than June 2025.<\/span><\/i><\/li>\n \t
                  • Customer:<\/b> The person who makes the payment and gains access to the online course.<\/span><\/i><\/li>\n<\/ul>\n

                    <\/h3>\n

                    2. Service Description<\/b><\/h4>\n
                      \n \t
                    • The provider offers the customer an <\/span>online course<\/b> titled <\/span>“Bridal Hair Pro 2025”.<\/span><\/i><\/li>\n \t
                    • The course includes <\/span>digital content<\/b>, which will be made available to the customer for an unlimited time.<\/span><\/li>\n \t
                    • The payment for the course is <\/span>one-time only<\/b>; there are <\/span>no additional or hidden costs<\/b>.<\/span><\/li>\n \t
                    • The customer will receive <\/span>immediate access<\/b> to the initial course content upon successful payment.<\/span><\/li>\n \t
                    • Drip release:<\/b> The course will be released gradually to ensure optimal learning and support. New modules will be made available regularly (e.g., weekly) until all content is fully published.<\/span><\/li>\n<\/ul>\n

                      <\/h3>\n

                      3. Prepayment & Invoicing<\/b><\/h4>\n
                        \n \t
                      • The payment is considered a <\/span>prepayment<\/b> for the future provision of the online course. Immediate <\/span>(partial) access<\/b> to course content will be granted upon payment. (See \u201cDrip Release\u201d section).<\/span><\/li>\n \t
                      • The invoice for this payment will only be issued after the registered incorporation of the provider (Fratichelli Education Ltd.), no later than June 2025.\u00a0By purchasing this product, the customer explicitly agrees to this agreement.<\/mark><\/b>A purchase without this agreement is not possible. No signature is required.\u00a0<\/span>A payment confirmation will be issued upon successful payment.<\/span><\/span><\/li>\n \t
                      • The full allocation of the payment (+ subsequent invoice) will be assigned to the newly established company <\/span>Fratichelli Education Ltd.<\/b><\/li>\n \t
                      • Until the official incorporation of the company, the payment will be <\/span>recorded as a prepayment for future services and only recognized as final revenue after the company is formed.<\/b><\/li>\n<\/ul>\n

                        <\/h3>\n

                        4. Service Period & Access Rights<\/b><\/h4>\n
                          \n \t
                        • The customer receives immediate access to the first course content upon payment.<\/span><\/li>\n \t
                        • The content will be <\/span>gradually released<\/b> until the course is fully available.<\/span><\/li>\n \t
                        • The full <\/span>service period<\/b> is from <\/span>February 10, 2025 \u2013 December 31, 2025.<\/b><\/li>\n \t
                        • Lifetime access:<\/b> The customer will retain access to the course <\/span>as long as the provider continues to operate its platform or unless unforeseen technical or economic circumstances make operation impossible.<\/b><\/li>\n<\/ul>\n

                          <\/h3>\n

                          5. No Additional Costs or Obligations<\/b><\/h4>\n
                            \n \t
                          • This <\/span>one-time payment<\/b> incurs <\/span>no additional fees or charges<\/b> for the customer.<\/span><\/li>\n \t
                          • There are <\/span>no subscription models, no hidden costs, and no additional payment requests.<\/b><\/li>\n<\/ul>\n

                            <\/h3>\n

                            6. Right of Withdrawal & Refund Policy<\/b><\/h4>\n
                              \n \t
                            • As this is <\/span>digital content that is made available to the customer immediately after payment<\/b>, there is <\/span>no right of withdrawal<\/b> pursuant to <\/span>\u00a7 356 (5) BGB (German Civil Code).<\/b><\/li>\n \t
                            • Refunds are excluded,<\/b> regardless of whether all modules have already been unlocked or not.<\/span><\/li>\n \t
                            • By purchasing, the customer <\/span>explicitly agrees<\/b> that the course will be released gradually (“drip release”) and that they <\/span>are not entitled to immediate access to all content.<\/b><\/li>\n \t
                            • The provider reserves the right to, <\/span>in individual exceptional cases, grant a partial or full refund at their sole discretion.<\/b><\/li>\n<\/ul>\n

                              <\/h3>\n

                              7. Applicable Law & Jurisdiction<\/b><\/h4>\n
                                \n \t
                              • This agreement is governed by <\/span>the laws of Malta.<\/b><\/li>\n \t
                              • The <\/span>place of jurisdiction for disputes is Malta.<\/b><\/li>\n<\/ul>\n

                                8. Customer Consent<\/b><\/h4>\n
